Terms of Service

These Terms of Service (“Terms”) govern your use of Umami, a platform for running member communities and their events, operated by Threepenny Labs LLC (“Umami,” “we,” “us”). By creating an account or using Umami, you agree to these Terms. If you do not agree, do not use Umami.

Eligibility & accounts

You must be at least 18 years old to create an account. Umami is invitation-based; access to a community is granted by that community. You are responsible for the activity on your account and for keeping your sign-in method secure. Provide accurate information and keep it up to date.

Acceptable use & community conduct

You agree not to:

  • harass, threaten, impersonate, or harm other members, or post unlawful, hateful, or infringing content;
  • misuse another member’s information, or contact members who have blocked you;
  • disrupt, probe, or attempt to gain unauthorized access to the platform or other accounts;
  • use Umami for spam, fraud, or any unlawful purpose.

Communities are moderated by their stewards, who may review activity and take action — including removing content or off-boarding a member — to keep the community safe. We may suspend or terminate access for conduct that violates these Terms.

Your content

You retain ownership of the content you post (your profile, messages, photos, event details, and similar). You grant Umami a non-exclusive license to host, store, and display that content as needed to operate the service — for example, showing your profile to other members of your community. You are responsible for the content you post and for having the rights to share it, including the names and details of any guests you add.

Events, tickets & payments

Events are created and run by hosts within a community. When an event sells tickets, the host is the seller and merchant of record, and payments are processed by Stripe directly to the host’s connected account. Umami is a platform that facilitates these transactions; Umami is not the seller of any ticket and does not take custody of ticket revenue.

Any ticket terms, changes, cancellations, and refunds are between the buyer and the host. Questions about a specific event or purchase should go to that event’s host. Your use of Stripe is also subject to Stripe’s own terms.

Payouts (hosts)

To receive ticket revenue, a host completes payout onboarding hosted by Stripe and agrees to Stripe’s Connected Account Agreement. The host is responsible for the accuracy of the information provided to Stripe and for any taxes on their revenue. Payout timing, balances, and reconciliation are handled by Stripe.

Disclaimers

Umami is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free. We are not responsible for the conduct of members or hosts, whether online or at events.

Limitation of liability

To the fullest extent permitted by law, Threepenny Labs LLC and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising from your use of Umami. Our total liability for any claim relating to the service will not exceed one hundred U.S. dollars (US$100).

Indemnification

You agree to indemnify and hold harmless Threepenny Labs LLC from any claims, damages, or expenses arising out of your content, your use of Umami, your events, or your violation of these Terms or the rights of others.

Termination

You may stop using Umami at any time. We may suspend or terminate your access if you violate these Terms or to protect the platform or its members. Sections that by their nature should survive termination (including content licenses already granted, disclaimers, limitation of liability, and indemnification) will continue to apply.

Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict of laws rules. Any dispute will be resolved in the courts located there, and you consent to their jurisdiction.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above; continued use of Umami after a change means you accept the updated Terms.
